- LEGAL NOTICE, published in the Intelligencer Journal/Lancaster New Era on June 15, 2013: “ NOTICE OF MEETING NOTICE IS HEREBY GIVEN that the Board of School Directors of the Columbia Borough School District, Lancaster County, Pennsylvania (the “School District”) at its public meeting scheduled for Thursday, June 20, at 7:00 p.m., prevailing local time, at the District Administration Center, 200 N. 5th Street, Columbia, Pennsylvania 17512, will, interalia, receive a proposal from RBC Capital Markets, LLC (the “Underwriter”) for the purchase of the School District’s General Obligation Bonds, Series of 2013, in the maximum aggregate principal amount of $11,825,000.00 (the “2013 Bonds”), and of its General Obligation Bonds, Series of 2014, in the maximum aggregate principal amount of $9,395,000.00 (the “2014 Bonds,” and together with the 2013 Bonds, the “Bonds”), and will take other action in connection with the incurring of non-electoral debt through the issuance of such bonds and at such meeting, or in the alternative at a meeting of the governing body of the School District held not less than three (3) nor more than thirty (30) days from the date of advertisement of this notice, will consider the enactment of a resolution (the “Resolution”) summarized as follows: The Resolution authorizes by private negotiated sale the issuance of the School District’s Bonds; determines that a private negotiated sale of the Bonds is in the best financial interest of the School District; awards the Bonds to the Underwriter upon the terms of the Underwriter’s bond purchase agreements for the Bonds; approves the terms and substantial form of the Bonds, fixes the maximum rates of interest to be paid, and pledges the full faith and credit of the School District for the payment thereof; authorizes the proper officers of the School District to contract with a paying agent, bond registrar and sinking fund depository; sets forth covenants with respect to the tax status of the Bonds; authorizes and directs the current refunding of the School District’s outstanding General Obligation Bonds, Series of 2009 (the “2009 Bonds”), subject to completion and delivery of, and settlement for, the 2014 Bonds; authorizes and directs the advance refunding of the School District’s outstanding General Obligation Bonds, Series A of 2009 (the “2009 A Bonds”), subject to completion and delivery of, and settlement for, the 2013 Bonds, together with the undertaking of all necessary action to effectuate such advance refunding, including the execution and delivery of an escrow deposit agreement by and between School District and Manufacturers and Traders Trust Company, Harrisburg, Pennsylvania, as escrow agent, as to the 2009 A Bonds; and authorizes the proper officers to take the necessary steps to issue the Bonds. The funds to be obtained from the 2013 Bonds will be used to (i) advance refund the School District’s outstanding 2009 A Bonds, and (ii) pay the costs of issuing and insuring the 2013 Bonds. The funds to be obtained from the 2014 Bonds will be used to (i) currently refund the School District’s 2009 Bonds, and (ii) pay the costs of issuing and insuring the 2014 Bonds. Omissions from the Resolution, as proposed, as well as any amendments thereto, will be supplied at the time of the adoption of the Resolution if the School District shall determine to proceed. Copies of the full text of the proposed Resolution may be examined by any citizen of the School District at the Columbia Borough School District Offices, 200 N. 5th Street, Columbia, Pennsylvania 17512, on regular business days from 8:00 a.m to 3:00 p.m, prevailing time.
